Job Summary

This is a highly visible and strategically critical position at a global public company.The role drives initiatives around: (1) acquisitions, (2) divestitures, and (3) jointdevelopments and minority investments. This challenging role contributes to thesuccess of the company by executing the acquisitions, divestitures, and the effectivedeployment of capital.As a key member of the corporate development team, this role will own and lead thefinancial modeling, specifically a cash-based valuation model, the due diligenceprocess, and deal negotiations (in partnership with legal). The role is ideal forsomeone who thrives in the acquisition / deal making environment and process.

Primary Responsibilities

  • Collaborate and strategize with the SVP of CorporateDevelopment, senior leadership, corporate finance, legal, compliance, regulatory,business teams to contribute to Novanta's growth strategy and effectively andefficiently deploy capital, while minimizing risk.
  • Own and lead the financial modeling, negotiation and close of thetransactions. Serve as a steward ensuring the efficient and effectivedeployment of capital to maximize Novanta's return on invested capital.
  • Execute transactions including process management, structuring,negotiations, and deal closures. Work closely with the Finance, Legal,Technology and other business and support function to ensure the integrityand efficiency of the transactions. This includes managing internal/externalreporting of the company's overall financial results and ensuring compliance with regulatory requirements and operational objectives.
  • Manage cross-functional due diligence teams with a hands-on, team-orientedapproach
  • Build organizational capabilities for scalability and continuous improvement in transactional execution aiming to institutionalize best practices and effectively manage risks.
  • Support acquisition planning, sourcing, and evaluation, placing a strong
    emphasis on financial analysis, and compelling business case presentations.
  • Ensure that the organization's value proposition is securely and appropriately
    grounded on financial strength and results as it relates to M&A activities.
  • Work with the Business teams on new initiatives, identifying key value drivers, constructing persuasive business cases, and structuring to maximize theirreturns on invested capital and their financial contributions to Novanta.
  • Establish effective communication channels with stakeholders to ensure
    alignment and transparency to sustain and enhance the productivity and
    performance of corporation's M&A.
  • Stay abreast of emerging market trends and the business environment
    through proactive and strategic internal and external networking efforts for
    informed decision-making.

Requirements

  • +10 years total in M&A, with former Private Equity experience a plus.
  • Bachelor's Degree and MBA.
  • Known for putting the company first, putting "we" before "me", and working
    across boundaries.

  • Strong business acumen and significant experience, stature, and credibility in acomplex technology-driven business.
  • Outstanding communication, analytical, reasoning and problem-solving skills.

  • Demonstrated ability to lead M&A activity and negotiate transactions.
  • Strong experience conducting detailed due diligence, with demonstrated
    experience producing and presenting analysis, valuation, and recommendationmaterial to senior level management.
  • Strong skills in strategic and quantitative analysis, and complex project
    management.
  • Strong communication and interpersonal skills to work directly with a broad groupof senior executives throughout the company.
  • A demonstrated ability to work cross-functionally, manage teams, and superviseoutside professionals.
